Long-term conditions of purchase by SEJ from JSW coal and methane, as well as sales to JSW energy media in the form of heat, electricity, cooling and compressed air ,were regulated as part of the transaction.
On the basis of the agreement, PGNiG TERMIKA shall make advance payment in the amount of PLN 278,878,263.00. Remaining part will be paid at the time of signing the promised contract of sale, the conclusion of which is scheduled for the beginning of August 2016. The signing is subject to the fulfillment of certain requirements, among others, obtaining required corporate approvals by JSW and changes in the Bond Issue Programme issued by SEJ.
In June this year, PGNiG TERMIKA received UOKiK (Office of Competition and Consumer Protection) approval to take over SEJ.
SEJ deals with the production of heat, electricity, cooling and compressed air. The main recipients of SEJ are mines of JSW S.A. and PEC Jastrzębie S.A. The company owns five CHP plants located in Jastrzębie-Zdrój (EC Zofiówka, EC Moszczenica), Pniówek (EC Pniówek) Suszec near Żory (EC Suszec) and Czestochowa. Sales of SEJ heat in 2015 amounted to 1 476 TJ, and 382 GWh of electricity. After starting the CFB unit with an installed capacity of 75 MWe, electricity generation capacity for SEJ will almost double. At the conclusion of the preliminary contract of sale, the advancement of construction of the new unit was approx. 60%, and the expected commissioning date is the end of April 2017. SEJ is the largest producer of electricity from mine methane drainage (29 MWe is total installed capacity in gas engines).
