The Management Board of Jastrzębska Spółka Węglowa S.A. (“Company”, “JSW S.A.”) hereby informs that on 1 March 2012 the Company’s Supervisory Board adopted a resolution on appointing, effective as of 1 April 2012, Mr. Robert Kozłowski to the position of Vice President for Economic Affairs of JSW S.A. for the seventh term of office. Mr. Robert Kozłowski is not engaged in any business competitive to that of the Company, does not participate in a competitive entity as a partner in a civil law company or partnership or as a member of a corporate authority of a joint stock or limited liability company and does not participate in any other competitive legal person as a member of its corporate authority. Furthermore, he is not entered in the Register of Insolvent Debtors kept pursuant to the National Court Register Act.
Mr. Robert Kozłowski graduated from the Foreign Trade Department of the Warsaw School of Economics (formerly the Central School of Planning and Statistics in Warsaw) with a Master's degree in economics, majoring in economics and organization of foreign trade.
In 2006, he completed his post-graduate IPMA-standard Project Management Studies conducted by the Management Consulting and Training Center (ODiTK) and the Business Center Club (BCC) as well as a training course for members of the supervisory boards of State Treasury companies.
Mr. Robert Kozłowski has extensive knowledge of finance and management in traditional industries with capital-intensive growth as well as knowledge of the capital markets.
He has participated in a number of courses, internships and training programs in finance, banking and portfolio management conducted by reputable financial institutions (such as the American Institute of Banking, Societe Generale, Dresdner Bank, Charterhouse, IFF, EVCA, etc.) and audit and tax advisory companies (Grant Thornton Frąckowiak, Ożóg i Wspólnicy) as well as in industrial management (great chemical synthesis, biofuels, electric utilities, metallurgy).
Mr. Robert Kozłowski has extensive international management experience in the execution of industrial projects in the areas of non-ferrous metal smelting, underground construction and sales of metallurgical and foundry machinery, equipment and products (Brazil, North Africa, the old European Union countries).
Currently, Mr. Robert Kozłowski conducts his own business focused on economic consulting and management.
From 2008 to 2011, he was the Management Board Member responsible for finance in Odmet S.A., a company operating in the sector of distribution and processing of steel products.
From 2006 to 2007, he was the Chief Financial Officer of Brasco S.A., a holding company focused on the production and sale of biocomponents and biofuels of the Bartimpex S.A. Capital Group, and then, from 2007 to 2010, an Advisor to the Management Board of Bartimpex S.A. in the biofuels and biocomponents segment.
In the years 1998-2000 and 2002-2005, he worked for the Firma Chemiczna Dwory S.A. Capital Group (currently Synthos) as the Investment Director and the Supervisory Board Chairman appointed by the mutual funds holding a stake in the company, and then as the Chief Executive Officer in the electric utility Energetyka Dwory.
In 2001, he was the Chief Executive Officer of the listed manufacturing and trading companies (capital groups) Yawal S.A. and Paged S.A.
From 1995 to 2000 as the Senior Investment Director in the asset management companies International Westfund Holding, Everest Capital and BRE Private Equity, he managed the financial assets of closed-end mutual funds (NFIs). In the years 1999-2000, he was a member of the management boards of the mutual funds Kazimierz Wielki and Zachodni NFI S.A.
From 1991 to 1994, he worked for Górnośląski Bank Gospodarczy S.A. (later Getin Bank), from 1992 as the Bank’s Management Board Member.
In 1980-1991, he was a salesman and a manager in export services, a sales representative and then a manager of industrial projects in the trading and industrial company Centrozap S.A.
Over the course of his professional career, Mr. Robert Kozłowski has served as the Chairman and Member of the Supervisory Boards of a number of companies in the portfolio of mutual funds and in the capital groups of Paged, Yawal, Bartimpex and Firma Chemiczna Dwory (currently Synthos).
