Body of the report:
The Management Board of Jastrzębska Spółka Węglowa S.A. (“Company”, “JSW S.A.”) hereby reports that on 8 August 2017, the Company’s Supervisory Board adopted a resolution to appoint Mr. Artur Dyczko as of 9 August 2017 to the Management Board of JSW S.A. and appointed him to the position of the Vice-President for Strategy and Development of JSW S.A.’s Management Board of the 9th term.
Mr. Artur Dyczko graduated from the Mining Faculty of the AGH University of Science and Technology in Cracow majoring in Underground Deposit Mining Technique and Management and Marketing. He also completed a post-graduate course in Human Resource Management at the Jagiellonian University and Mining Geology at the Faculty of Geology, Geophysics and Environmental Protection at the AGH University of Science and Technology in Cracow.
He is an author and co-author of numerous research studies, expert reports, opinions, implementation projects and scientific publications on mining.
Mr. Artur Dyczko has more than 19 years of experience, including almost 3 years in mine operation, including mining of deposits, production planning and scheduling, deposit modeling, economics of mineral deposit mining, optimization and restructuring of mining plants.
From 1999 to 2001, he worked for the Rudna Mine Branch of KGHM Polska Miedź S.A. on the positions from a trainee to a shift foreman underground. Since 2002 he has been a research fellow at the Mineral and Energy Economy Research Institute at the Polish Academy of Sciences in Cracow, an assistant at the Mineral Deposit Mining Laboratory.
Since July 2016, he has been employed by JSW S.A. on the position of the Management Board Representative for Restructuring the JSW Group, Director of the JSW S.A Strategy and Development Department – Management Board Representative for Restructuring the JSW Group.
Currently he serves in the Company as the Representative for Technical Matters.
He has experience as a consultant on the subjects of mining, management of mineral resources and use of IT tools in managing the economics of deposits, for large international corporations, such as: Deloitte, KPMG, PwC, McKinsey, IBM, HP, Microsoft, Bentley, Dassault Systèmes (Gemcom), SAP, Deswik and ABB. He also has experience in managing large project teams, having participated in several dozen implementation projects in the mining industry, including ones for LW Bogdanka S.A., KGHM Polska Miedź S.A., KHW S.A., Tauron Wydobycie S.A., Polska Grupa Górnicza Sp. z o.o. and JSW S.A.
He is a co-author of the operating strategy of LW Bogdanka S.A. until 2020; the main mining consultant for Polska Grupa Górnicza’s new business model and the author of JSW’s anti-crisis strategy. At present, he is responsible for the restructuring of the JSW Group.
According to his declarations, Mr. Artur Dyczko does not conduct activity competitive to that of the Company and is not involved in any competitive company as a partner in a civil law company or partnership or as a member of a corporate body of a capital company, or participate in another competitive legal person as a member of its corporate body. In addition, he is not entered in the register of insolvent debtors kept pursuant to the provisions of the National Court Register Act.
