Appointment of Members of the JSW S.A. Supervisory Board for its 11th term of office

Body of the report:

The Management Board of Jastrzębska Spółka Węglowa S.A. (“Company”, “JSW”) hereby reports that on 1 July 2022 the Company received representations from the Minister of State Assets acting on behalf of the State Treasury to appoint as of today, pursuant to § 15 sec. 13 of the Company’s Articles of Association, the following persons to the JSW Supervisory Board for its 11th term of office:

  • Halina Buk
  • Alojzy Nowak
  • Jolanta Górska
  • Stanisław Prusek
  • Michał Rospędek

Moreover, on 1 July 2022, the JSW Ordinary Shareholder Meeting appointed the following persons elected by employees to the Company’s Supervisory Board for its 11th term of office:

  • Paweł Nieradzik
  • Robert Kudelski
  • Robert Łazarczyk
  • Arkadiusz Wypych

The foregoing persons do not conduct activity competitive to that of the Company, nor are they involved in any competing company as a partner in a civil law company or partnership or as a member of a corporate body of a capital company, or participate in another competing legal person as a member of its corporate body. In addition, they are not entered in the Register of Insolvent Debtors kept pursuant to the provisions of the National Court Register Act and in the National Register of Indebted Persons kept pursuant to the Act of 6 December 2018 on the National Register of Indebted Persons.

JSW hereby conveys as an attachment information concerning the persons appointed to the Company’s Supervisory Board in its 11th term of office.

Legal basis: § 5 Item 5) and  § 10 of the Regulation issued by the Finance Minister on 29 March 2018 on the Current and Periodic Information Transmitted by Securities Issuers and the Conditions for Recognizing the Information Required by the Regulations of a Non-Member State as Equivalent.
