Body of the Report:
The Management Board of Jastrzębska Spółka Węglowa S.A. (“Company”) hereby announces that on 16 September 2013 the Company received a decision of the District Court in Gliwice, 10th Commercial Division of the National Court Register, dated 11 September 2013, regarding registration of amendments to the Company’s Articles of Association and a change in the structure of the share capital effected pursuant to Resolution Nos. 5 and 6 adopted by the Company’s Extraordinary Shareholder Meeting on 12 August 2013, Rep. A No. 5564/2013.
As a result of this registration, the structure of the Company’s share capital was changed by the conversion of certain series A and D shares from registered shares into bearer shares.
Following the registration, the Company’s share capital is divided into 117,411,596 (one hundred seventeen million four hundred eleven thousand five hundred ninety-six) ordinary shares with a par value of PLN 5 (five Polish zloty) each, consisting of:
1) 99,524,020 series A shares, including: 837,597 registered shares numbered from 0.000.001 to 00.837.597 and 98,686,423 bearer shares numbered from 00.837.598 to 99.524.020,
2) 9,325,580 series B bearer shares numbered from 99.524.021 to 108.849.600,
3) 2,157,886 series C bearer shares,
4) 6,404,110 series D shares, including: 274,438 registered shares numbered from 6.129.673 to 6.404.110 and 6,129,672 bearer shares numbered from 0.000.001 to 6.129.672.
The total number of votes following the registration of the above changes has not changed and remains 117,411,596.
