Contract

Conclusion of a significant agreement - Revenues and agreement of an estimated significant value with the capital group companies of the ArcelorMittal Poland S.A.

 

Body of the Report:

The Management Board of JSW S.A. (The "Company", "JSW") announces that as of  15 July 2014, i.e. the publication of the current report No. 16/2014, turnover level and estimates of agreements concluded between the JSW Capital Group companies, and ArcelorMittal Poland S.A. Capital Group companies, so far not given to the public exceeded 10% of the equity of JSW reaching a value of PLN1.99 billion.

The highest value contract is the agreement concluded on 15 June 2015 between Jastrzębska Spółka Węglowa S.A. with its registered office in Jastrzębie-Zdrój (appearing in the Agreement as "Seller") and ArcelorMittal Poland S.A. based in Dabrowa Górnicza (appearing in the Agreement as "Buyer") concerning the supply of coking coal to the Buyer in 2015 (the "Agreement"). The estimated value of the Contract for the entire duration is PLN1.7 billion (one billion seven hundred million zlotys).

Significant terms of the Agreement:

The agreement is valid from 1 January 2015  to 31 December 2015.

Currency of the Agreement is PLN.

The price terms are agreed on quarterly basis.

The agreement contains reciprocal provisions on sanctions in case of non-performance of contractual obligations by any of the parties to the agreement, amounting to 10% of the gross value of the undelivered / uncollected goods. In case the parties to the Agreement suffer damage exceeding the contractual penalty payable may claim additional compensation.
Other conditions of the agreement do not differ from those commonly used for this type of agreements.
