The Management Board of Jastrzębska Spółka Węglowa S.A. (“Company”, “JSW S.A.”) hereby informs that on 9 April 2013, the Company’s Supervisory Board adopted a resolution to appoint, as of the date of this year’s Ordinary Shareholder Meeting, Mr. Jarosław Zagórowski to the position of President of the JSW S.A. Management Board of the 8th term. Mr. Jarosław Zagórowski does not conduct activity competitive to that of the Company and is not involved in any competitive company as a partner in a civil law company or partnership or as a member of a corporate body of a capital company, or participate in another competitive legal person as a member of its corporate body. In addition, he is not entered in the Register of Insolvent Debtors kept pursuant to the provisions of the National Court Register Act.
Please find below information about Mr. Jarosław Zagórowski’s education, qualifications and prior positions together with a description of his professional career.
Mr. Jarosław Zagórowski has graduated from the Silesian University of Technology in Gliwice, where he obtained a degree from two faculties: mechanics and construction of machinery at the Mechanical Engineering Faculty and marketing and management at the Organization and Management Faculty. In 2004, he completed his PhD studies at the Mining Faculty of the Mining and Metallurgical Academy in Kraków.
Since 19 March 2007, he has been the President of the JSW SA Management Board. Before taking up this function he was associated with the Company as the chairman of its Supervisory Board and, earlier on, from 30 June 2003, as a Supervisory Board member.
Nearly from the very beginning of his professional career, i.e. since 1997, he worked at the Ministry of Economy – inter alia at the position of advisor to the Undersecretary of State on mining, power sector, gas industry, liquid fuels and metallurgy, and advisor on initiation and implementation of the state industrial policy in metallurgy, coking industry, energy and non-energy mineral mining, and state energy policy matters. In 2002-2003, as the deputy director of the Industry Restructuring Department at the Ministry of Economy, he was responsible for the black coal mining sector and non-energy minerals; from 2003 he was the Minister’s Counsel at the Energy Security Department of the Ministry of Economy, Labor and Social Policy.

Winner of numerous awards and titles, among others:
- Distinguished with the title “Those who change Polish industry”.
- Honored with the prestigious Manager Award, granted by the publishers of the Business Magazine Manager for material acquisitions in strategic coking and power segments, ambitious investment program implemented by the Company and record-breaking results.
- Chosen as the “Personality of the Year 2011” in the Mining Success of the Year Competition for his actions towards development of a leading European Jastrzębska Spółka Węglowa Capital Group. The Competition was organized by the Mining Chamber of Industry and Commerce and the School of Underground Operations.
